1. Luminary Content Contributor Introduction

This Terms Sheet sets forth the agreement between the Luminary Content Contributor and AI Core Innovations concerning the Writer’s provision of content writing services to the Company.

2. Luminary Content Contributor Scope of Work

  • Content Types: The Writer will create various content types, including but not limited to articles, tutorials, case studies, blog posts, and research papers.
  • Content Topics: Topics will be focused on AI, machine learning, coding tutorials, industry updates, and related subjects as assigned by the Company.

3. Deliverables

  • Quality Standards: All content must meet the Company’s editorial guidelines, be original, and free from plagiarism.
  • Submission Format: Content should be submitted in text format.
  • Deadlines: The Writer will adhere to deadlines set by the Company for each assignment.

4. Compensation

  • No Monetary Compensation: The Writer acknowledges that this is an unpaid position and no monetary compensation will be provided for the content contributions.
  • Professional Promotion: In lieu of payment, the Writer will receive professional promotion through:
    • Visibility and Recognition: The Writer’s profile and contributions will be featured prominently on our platform, reaching a wide audience of AI enthusiasts and professionals.
    • Exclusive Luminary Badge: The Writer will receive a prestigious Luminary Badge to display on their website, social media, or LinkedIn profile, showcasing their status as an AI thought leader.
    • Dedicated Profile Page: The Writer will get a personalized profile page highlighting their achievements, contributions, and professional background, enhancing their online presence.
    • Professional Growth: The Writer can enhance their portfolio with published works on a respected platform, and gain opportunities to collaborate with top AI companies and academic institutions.

5. Rights and Ownership

  • Work for Hire: All content created by the Writer under this agreement will be considered “work for hire.” The Company will own all rights, title, and interest in and to the content upon submission.
  • License to Use: The Writer grants the Company an exclusive, perpetual, worldwide license to use, reproduce, distribute, and display the content.

6. Confidentiality

  • Confidential Information: The Writer agrees to keep confidential any proprietary information, trade secrets, or other sensitive information disclosed by the Company.
  • Non-Disclosure: The Writer will not disclose any confidential information to any third party without the Company’s prior written consent.

7. Representations and Warranties

  • Original Work: The Writer represents and warrants that all content delivered to the Company will be original and not infringe upon any copyright, trademark, or other proprietary right of any third party.
  • Compliance: The Writer agrees to comply with all applicable laws and regulations in the performance of their services.

8. Indemnification

The Writer agrees to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses arising out of or related to any breach of this agreement by the Writer.

9. Termination

  • At Will: Either party may terminate this agreement at any time, with or without cause, upon [specified notice period, e.g., 30 days] written notice to the other party.
  • Breach: The Company may terminate this agreement immediately upon written notice if the Writer breaches any term of this agreement.

10. Governing Law

11. Entire Agreement

This Terms Sheet constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.
